Plain English: ShopBill Pro is a billing and business-management app made by TradeCrest Technologies Pvt. Ltd. By signing up, you agree to use it lawfully, pay your subscription on time if you choose a paid plan, and let us help you run your business. We don't sell your data, we don't lock you in, and you can leave anytime.

1. Who We Are

These Terms of Service ("Terms") are a legal agreement between you ("you", "your", "User") and TradeCrest Technologies Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at 529, Harsewakpur No 2, Harsewakpur, Jangle Dhushar, Sadar, Gorakhpur – 273014, Uttar Pradesh, India (CIN: U62099UP2026PTC247501) ("Company", "we", "us", "our").

"ShopBill Pro" or the "Service" means the web and progressive web application available at shopbillpro.in and app.shopbillpro.in, together with all associated APIs, integrations, and services provided by us.

2. Acceptance of These Terms

By creating an account, accessing, or using ShopBill Pro, you confirm that:

You are at least 18 years old, or are legally capable of entering into a binding contract under Indian law;
If you are using ShopBill Pro on behalf of a business, you have the authority to bind that business to these Terms;
You will use ShopBill Pro only for lawful business purposes;
You accept these Terms and our Privacy Policy and Refund Policy.

3. Your Account

You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately at security@shopbillpro.in if you suspect unauthorised access.

You agree to provide accurate information at signup and to keep it current. You may not transfer your account to anyone else without our written consent.

4. Plans, Billing & Free Tier

ShopBill Pro offers a Free plan (with a "Powered by ShopBill Pro" footer on bills and a monthly bill cap), and paid plans (Pro at ₹99/month and Business at ₹499/month, plus add-ons). Current pricing is shown at shopbillpro.in/pricing.

Paid subscriptions are charged monthly or annually in advance via Razorpay. By subscribing, you authorise us to charge the agreed amount via your selected payment method until you cancel.

We may revise prices, plans, or features. Material changes affecting your active subscription will be notified at least 14 days in advance, and you may cancel before the change takes effect.

5. Beta Period

If you join during our public beta, full features are provided free of charge for 60 days plus a 7-day grace period. After that, your account automatically reverts to the Free plan unless you upgrade. We may end the beta or change its terms at any time, with reasonable notice.

6. Acceptable Use

You agree not to:

Use ShopBill Pro to issue fraudulent bills, evade taxes, or for any unlawful purpose;
Reverse-engineer, decompile, or attempt to extract source code from the Service;
Resell, sublicense, or commercially exploit the Service except as expressly permitted;
Upload viruses, attempt to disrupt the Service, or breach security measures;
Use the Service to send unsolicited bulk messages (spam) to your customers;
Misrepresent your identity or impersonate another business;
Scrape, copy, or republish content from our marketing site without permission.

7. Your Data

You own your data. All bills, customer records, products, stock, and other content you create in ShopBill Pro remain your property. We act only as a data processor on your behalf for the purpose of providing the Service.

You can export your data at any time via Reports → Export. If you cancel your account, we retain your data for 30 days to allow recovery, then delete it permanently.

8. Intellectual Property

The ShopBill Pro name, logo, software, design, marketing site, and all related materials are owned by TradeCrest Technologies Private Limited and protected under Indian and international IP laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use ShopBill Pro for your business during your subscription.

Content you upload (your shop logo, product images, customer data) remains yours, and you grant us only the limited licence needed to display, store, and process it for you.

9. Third-Party Services

ShopBill Pro integrates with third-party services including Razorpay (payments), Supabase (database hosting), Vercel (web hosting), MSG91 (WhatsApp/OTP), and others listed in our subprocessor list. Your use of those services is subject to their own terms.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance, and unscheduled downtime can occur. We are not liable for losses arising from service interruptions, but will make reasonable efforts to restore service promptly.

11. Disclaimer & Limitation of Liability

ShopBill Pro is provided "as is". To the maximum extent permitted by law, we disclaim all warranties (express or implied) including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, our total liability to you for any claim arising out of or related to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim, or ₹10,000, whichever is greater.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility.

You are responsible for the accuracy of bills, GST returns, and other regulatory filings generated using ShopBill Pro. We provide tools, not professional advice.

12. Indemnification

You agree to indemnify and hold harmless TradeCrest Technologies Pvt. Ltd., its directors, employees, and agents from any claim, loss, damage, or expense (including reasonable legal fees) arising from your breach of these Terms, your use of the Service, or your violation of any law or third-party right.

13. Termination

You may stop using ShopBill Pro and cancel your subscription at any time. We may suspend or terminate your account if you breach these Terms, with or without notice depending on the severity. Upon termination, your right to use the Service ceases immediately. Sections 7, 8, 11, 12, 14 survive termination.

14. Governing Law & Disputes

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts at Gorakhpur, Uttar Pradesh.

Before pursuing legal action, you agree to first contact us at legal@shopbillpro.in to attempt good-faith resolution.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email and/or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
